1. Introduction

Welcome to Edutek. These Terms and Conditions govern your use of our services, including Learning Management Systems (LMS), student recruitment, and digital marketing support. By accessing or using our services, you agree to comply with these terms. If you do not agree, please refrain from using our services.

2. Definitions

• Edutek refers to the service provider, including its team, platform, and all associated services.
• Client refers to any individual, RTO (Registered Training Organization), or entity engaging with Edutek’s services.
• Services refer to all solutions offered by Edutek, including but not limited to LMS implementation, student recruitment, and digital marketing support.

3. Service Agreements

• Scope: Edutek agrees to provide the specified services as outlined in the individual service agreement with each client.
• Customisation: Services will be tailored to meet the needs of the client, subject to any limitations outlined in the agreement.
• Amendments: Any changes or additions to services must be documented in a written agreement signed by both parties.

4. Fees and Payment

• Pricing: Fees for services are provided in the quotation and service agreement. Prices are subject to change, with notice provided to clients.
• Payment Terms: Payments must be made as per the schedule agreed upon in the service contract. Late payments may incur interest charges.
• Refunds: Refunds are subject to the discretion of Edutek. Once services are rendered, no refunds will be granted except under exceptional circumstances.

5. Client Responsibilities

• Accurate Information: Clients must provide accurate and complete information required to carry out the services.
• Compliance: Clients are responsible for ensuring their organization complies with all legal and regulatory requirements associated with RTO management and digital marketing.
• Timely Communication: Clients must maintain timely communication with Edutek regarding project updates and any concerns.

6. Intellectual Property

• Ownership: All intellectual property developed by Edutek, including but not limited to software, designs, marketing strategies, and content, remains the property of Edutek unless otherwise stated in the service agreement.
• License: Clients are granted a non-exclusive, non-transferable license to use Edutek’s services for the agreed-upon duration of the contract.

7. Confidentiality

• Data Protection: Edutek will maintain the confidentiality of all client data and sensitive information provided during the course of services. Client data will not be shared with third parties without prior consent.
• Non-disclosure: Both parties agree to keep confidential any proprietary information exchanged during the course of the relationship.

8. Liability and Warranties

• Limitation of Liability: Edutek is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Liability is limited to the amount paid by the client for the relevant service.
• No Guarantee: While Edutek strives to provide high-quality services, we do not guarantee specific outcomes such as student recruitment numbers or increased online presence.

9. Termination

• By Client: Clients may terminate the service agreement with prior written notice, as per the termination clause in their individual contract.
• By Edutek: Edutek reserves the right to terminate services in case of non-payment, breach of contract, or misuse of services.
• Effects of Termination: Upon termination, all outstanding payments must be settled, and any licenses or access to Edutek’s services will be revoked.

10. Dispute Resolution

In the event of a dispute, both parties agree to resolve the issue amicably through negotiation. If a resolution cannot be reached, the matter will be referred to mediation before pursuing legal action.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Australia. Any disputes will be subject to the exclusive jurisdiction of the courts in Australia.

12. Changes to Terms

Edutek reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to clients, and continued use of services after changes have been made constitutes acceptance of the new terms.
